Wythe Intelligence — Terms of Service (Beta)

Effective for all use of the Wythe service during the beta period.

These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and Wythe Intelligence LLC, a Maryland limited liability company ("Wythe," "we," "us," or "our"), governing your access to and use of the Wythe legal-research platform and any related websites, applications, APIs, and data products (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

You confirm that you are at least 18 years old and that you have authority to enter into these Terms, either on your own behalf or on behalf of the organization you represent. If you accept on behalf of an organization, "you" includes that organization, and you represent that you have authority to bind it.

2. The Service

Wythe provides search, retrieval, and analytical tools across federal election enforcement materials, advisory opinions, court decisions, regulations, and related corpora (the "Content"). Some Content is generated through optical character recognition ("OCR"), automated classification, and other machine processing of public records. The Service is intended as a research aid and does not provide legal advice.

3. Beta Status & Acknowledgments

The Service is currently offered in beta. You acknowledge and agree that:

  • The Service is a pre-release product made available for evaluation, feedback, and limited production use.
  • Features may change, be added, or be removed at any time, without notice.
  • The Service may contain bugs, errors, incomplete features, and inaccuracies, and may experience downtime or data loss.
  • Beta access is invite-only and may be revoked at any time at our discretion.

4. Eligibility and Accounts

Access requires an invitation and an account. You are responsible for maintaining the confidentiality of your authentication credentials (including magic-link emails) and for all activity under your account. You agree to provide accurate registration information and to keep it current. You must notify us promptly of any suspected unauthorized use of your account.

5. Beta Pricing

During the beta period, the Service is offered at discounted beta pricing. You acknowledge that this discount reflects the pre-release nature of the Service and the expectation that beta users will use the Service in good faith and share feedback as described in Section 6. Beta pricing is set in your order form, invoice, or other written communication from us, and is subject to change with reasonable notice. We reserve the right to introduce standard (non-discounted) pricing at the conclusion of the beta period; we will give you reasonable notice before any such change applies to you.

6. Feedback and Bug Reports

We hope and expect that beta users will, in good faith, share observations about bugs, inaccuracies, missing or misclassified documents, OCR errors, search-relevance problems, and suggested improvements ("Feedback") via info@wytheintelligence.com or any in-product feedback channel we provide. While we deeply value such Feedback and the discounted pricing reflects this collaborative relationship, providing Feedback is not a strict contractual obligation, and your account will not be terminated solely for not providing Feedback.

When you do submit Feedback, you grant Wythe a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and incorporate that Feedback into the Service or any other Wythe product without compensation or attribution.

7. Document Accuracy and OCR Disclaimer

A LARGE PORTION OF THE CONTENT IS PRODUCED BY AUTOMATED SYSTEMS — INCLUDING OPTICAL CHARACTER RECOGNITION ON SCANNED DOCUMENTS, AUTOMATED DOCUMENT SPLITTING, AND MACHINE CLASSIFICATION — AND WILL CONTAIN ERRORS, OMISSIONS, AND INACCURACIES.

You expressly acknowledge that:

  • The OCR'd text shown in the Service is a machine-generated transcription of the underlying source document and may differ from the source document.
  • Document boundaries, document types, party names, dates, citations, and other extracted metadata are produced by automated systems and may be wrong.
  • Search results, snippets, and summaries are derived from the same imperfect inputs.

The original underlying records (such as scanned PDFs from the FEC) are the authoritative source. You agree not to rely on Wythe-derived text, metadata, or summaries for any legal filing, regulatory submission, court filing, citation, or other binding purpose without independently verifying the relevant content against the original underlying record. Wythe is a research aid and is not a substitute for professional judgment.

8. Source Materials and Public-Domain Content

The Content includes federal records that are works of the United States Government and are in the public domain in the United States, including Federal Election Commission ("FEC") enforcement files, advisory opinions, audit reports, court decisions, the Code of Federal Regulations, and other federal materials. Public-domain status of the underlying records is not changed by their inclusion in the Service. Wythe makes no claim of copyright in such public-domain Content. Wythe does claim copyright and other proprietary rights in the Service itself, including its software, layout, search interfaces, derived embeddings, and curation.

9. Acceptable Use

You agree not to:

  • (a) use the Service to violate any law or regulation;
  • (b) attempt to gain unauthorized access to the Service, other accounts, or our infrastructure;
  • (c) reverse engineer, decompile, or disassemble any portion of the Service, except to the extent that applicable law expressly permits;
  • (d) bulk-scrape, systematically download, or otherwise extract Content in a way that materially burdens our infrastructure or that would allow you to reconstruct a substantial portion of the Service outside of authorized use;
  • (e) use the Service to build a competing product or service;
  • (f) misrepresent the source or accuracy of any Content;
  • (g) interfere with or disrupt the integrity or performance of the Service;
  • (h) share account credentials or allow access by anyone outside your organization without our written consent.

10. Intellectual Property

As between you and Wythe, Wythe owns all right, title, and interest in and to the Service, including all software, designs, trademarks, and any derived data products (such as embeddings, classifiers, and search indexes). Subject to your compliance with these Terms, Wythe grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal research purposes during the beta period.

You retain ownership of any data you upload or queries you submit. You grant Wythe a non-exclusive license to process such data and queries solely to operate, secure, support, and improve the Service.

The marks "WYTHE", "Wythe", "Wythe Intelligence", and "Wythe Legal Intelligence", and the Wythe logo, are trademarks of Wythe Intelligence LLC.

11. Third-Party Services and Dependencies

The Service depends on third-party providers including, without limitation, cloud hosting and database services (such as Supabase and Vercel), object storage providers (such as DigitalOcean Spaces), DNS and edge providers (such as Cloudflare), language-model and embedding providers (such as Anthropic, Mistral, and Voyage), and the FEC's openFEC API and FEC.gov website. These providers are not under our control. We do not warrant their availability, accuracy, or performance, and we are not responsible for any outage, error, or change in any such third-party service. Your use of the Service is subject to the applicable third-party terms where they apply.

12. Service Availability

The Service is provided on an as-available basis. We do not commit to any specific uptime, response time, or service level during the beta period. We may suspend or limit access to the Service at any time for maintenance, security, capacity, or other operational reasons.

13. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WYTHE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WITHOUT LIMITING THE FOREGOING, WYTHE MAKES NO WARRANTY THAT ANY CONTENT — INCLUDING ANY OCR TEXT, EXTRACTED METADATA, OR DERIVED SUMMARY — IS ACCURATE OR COMPLETE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • (a) Cap.WYTHE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES YOU ACTUALLY PAID TO WYTHE FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE PAID NO FEES, WYTHE'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
  • (b) Excluded damages. IN NO EVENT WILL WYTHE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WYTHE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • (c) Basis of the bargain. YOU ACKNOWLEDGE THAT THE FEES (INCLUDING THE BETA DISCOUNT) AND THE OTHER PROVISIONS OF THESE TERMS REFLECT THE ALLOCATION OF RISK SET FORTH IN THIS SECTION, AND THAT THESE LIMITATIONS ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND WYTHE.

15. Indemnification

You will defend, indemnify, and hold harmless Wythe and its officers, directors, employees, and agents from and against any third-party claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from (a) your use of the Service in violation of these Terms or applicable law, (b) your reliance on Content (including OCR'd text or extracted metadata) without independent verification against the underlying records, or (c) any data or material you submit to the Service.

16. Term and Termination

These Terms apply for as long as you have access to the Service. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms, non-payment, security concerns, or termination of the beta program. You may stop using the Service at any time. Upon termination, your right to access the Service ends immediately. Sections that by their nature should survive termination will survive (including Sections 6, 7, 9, 10, 13, 14, 15, 18, and 19).

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will use reasonable efforts to notify you (for example, by email or in-product notice) before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Maryland, and you consent to the personal jurisdiction of those courts. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

19. Miscellaneous

  • Entire Agreement. These Terms, together with any order form or written agreement referencing them, are the entire agreement between you and Wythe regarding the Service and supersede any prior or contemporaneous agreements on that subject.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
  • No Waiver. Failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our prior written consent. Wythe may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
  • Notices. Notices to Wythe should be sent to info@wytheintelligence.com. Notices to you may be sent to the email associated with your account.
  • Independent Contractors. The parties are independent contractors; these Terms do not create any agency, partnership, or joint venture.
